**Job details** ------------------------- At Emergencias, we are looking for a Legal Manager to join the company. Purpose Responsible for ensuring that the company operates within the current legal framework, guaranteeing regulatory compliance and reducing legal risks. The role's purpose within the company will be to provide strategic advice on contractual, regulatory, and litigation matters. Contributing to the business's legal security and sustainability. Likewise, the candidate must supervise and manage all legal aspects related to the formation, administration, and dissolution of companies, as well as corporate operations. In addition to their duty of legal oversight, they must protect the company’s legal interests and support the design and execution of corporate strategies at a legal level. Key responsibilities include: Corporate Legal Advisory Provide legal advice and guidance regarding the formation, modification, and dissolution of companies, as well as appropriate corporate structures for different projects and operations. Advise on legal matters related to mergers, acquisitions, and corporate restructurings, including the review and drafting of key legal documents such as merger agreements, sales contracts, etc. Manage relationships with government authorities and other external stakeholders regarding legal registrations, regulatory approvals, and compliance with regulations. Regulatory Compliance Ensure the company complies with all laws and regulations applicable to organizational activities. Manage compliance with corporate legislation, including filing reports, updating corporate records, and properly conducting shareholder meetings and board sessions. Contract and Legal Documentation Management Oversee the drafting, review, and negotiation of commercial contracts, confidentiality agreements, shareholders' agreements, and other legal documents related to business operations. Maintain an adequate and organized record of corporate legal documentation, ensuring it is always accessible to the company’s decision-making bodies. Litigation and Legal Conflict Management Supervise legal matters involving the company, including conflict resolution, litigation, and representing the company in legal proceedings. Coordinate with external lawyers when necessary, ensuring the company's interests are properly represented in all legal processes. Corporate Governance Advisory Support the creation and updating of corporate governance policies, ensuring company practices align with best practices in transparency and business ethics. Advise on the composition and structure of corporate governance bodies, including the board of directors and committees, ensuring compliance with internal and external regulations. Legal Strategy and Planning Collaborate with senior management on the company’s strategic planning, identifying legal risks and proposing solutions or strategies to protect the company. Analyze and assess potential legal risks of new projects or initiatives and provide proactive legal solutions to mitigate these risks. Team Supervision Supervise the internal legal team, providing guidance and support for team members’ professional development. Ensure continuous training of the team regarding the latest legal reforms and regulations affecting the company. Requirements General Requirements Law degree, licensed attorney (mandatory) Minimum 5 years of experience (mandatory) in similar roles, in the healthcare sector and/or specialized law firms. Advanced English (desirable) Postgraduate degree in Business Law (desirable) Skills and Competencies Extensive knowledge of corporate and commercial laws and regulations Solid knowledge of health law and sanitary regulations Skills in negotiating and drafting complex contracts Ability to make strategic decisions based on legal analysis Ability to manage multiple tasks and projects under pressure Excellent communication and negotiation skills Proactive approach and results-oriented Experience managing litigation and relationships with regulatory agencies Ability to align legal functions with business objectives Skill in assessing risks and proposing effective legal solutions Focus on efficient resolution of legal issues Collaboration with different departments to ensure legal and operational alignment Commitment to integrity and protection of sensitive information Benefits Our value proposition is evolving!
